Bajaj Auto International Holdings B.V. (BAIH), a wholly owned subsidiary of Bajaj Auto Limited, has received notification from the European Commission that no in-depth investigation will be initiated under the Foreign Subsidies Regulation. This decision clears the regulatory path for BAIH to acquire control of PIERER Mobility AG. * Previously, on 22 May 2025, BAIH entered a call option agreement with Pierer Industrie AG to acquire all shares held by Pierer Industrie AG in Pierer Bajaj AG, thereby indirectly controlling PIERER Mobility AG by the end of May 2026. * The Austrian Takeover Commission had already approved the restructuring privilege on 23 October 2025, confirming no mandatory takeover bid was required. * With the EU Commission's clearance, all regulatory requirements for Bajaj to take control have been met. * The takeover may now proceed to completion as of 11 November 2025. * BAIH will become the sole owner of Pierer Bajaj AG, which in turn holds 74.9 per cent of KTM's parent company, PIERER Mobility AG. * The formal closing of the change of control is expected in the coming weeks.
