Eris Lifesciences Limited announced the allotment of 23,06,372 equity shares of face value Re. 1 each, at an issue price of ₹1835.35 per share, including a premium of ₹1834.35. This allotment is on a preferential basis through private placement to Mr. Naishadh Shah.

The allotment is in consideration for the acquisition of 16,74,493 equity shares of Swiss Parenterals Limited, representing 30% of its total share capital. The acquisition was completed on January 16, 2026, making Swiss Parenterals a wholly-owned subsidiary of Eris Lifesciences.

This decision follows a Board Meeting held on November 24, 2025, and subsequent shareholder approval via postal ballot on December 24, 2025. The company had received in-principal approval for this preferential issue from NSE and BSE on January 9, 2026. The newly allotted shares will rank pari-passu with existing equity shares, subject to lock-in and transfer restrictions.

Consequent to this allotment, Eris Lifesciences' paid-up equity capital has increased to ₹13,85,23,263, comprising 13,85,23,263 equity shares, from the previous ₹13,62,16,891, consisting of 13,62,16,891 equity shares. The new shares are expected to be listed on the NSE and BSE upon receiving the necessary approvals.
