This scheme involves DCM Shriram Industries Limited (the Demerged Company), DCM Shriram Fine Chemicals Limited (Resulting Company 1), and DCM Shriram International Limited (Resulting Company 2).

The Depositories (NSDL and CDSL) have confirmed the allotment and credit of equity shares of DCM Shriram Fine Chemicals Limited and DCM Shriram International Limited to the equity shareholders of DCM Shriram Industries Limited, as per the ratios specified in the Scheme. Consequently, the Resulting Companies have ceased to be wholly-owned subsidiaries of the Company.

The Board of Directors of all three companies mutually decided to set the Effective Date of the Scheme as December 17, 2025. This date aligns with the filing of Form INC-28 by the Resulting Companies with the Registrar of Companies, NCT of Delhi & Haryana, following the Hon'ble NCLT order dated November 21, 2025, which was received on December 5, 2025.

The Resulting Companies are undertaking the necessary procedures to obtain listing and trading permissions for the allotted equity shares from the BSE Limited and the National Stock Exchange of India Limited.
