Dalmia Bharat Limited (DBL) announced the disposal of its entire 25.44% equity stake in O2 Renewable Energy V Private Limited (OREV). This transaction means OREV is no longer an associate of Dalmia Cement (Bharat) Limited (DCBL), a wholly owned subsidiary of DBL.

This stake was originally acquired by DCBL on April 6, 2024, and August 22, 2024, to source wind power for up to 11 MW capacity in Karnataka. The disposal was completed on January 16, 2026, at approximately 1:15 PM.

The total consideration received from the sale amounts to ₹10.82 crore. The stake was transferred to third parties: JSW Neo Energy Limited acquired 12.23%, Goldman Sachs Services Pvt Ltd acquired 4.99%, and Syngene International Limited acquired 8.23%. These buyers are not part of Dalmia Bharat's promoter or group companies, and the transaction does not constitute a related party transaction. OREV's financials were not consolidated with DBL's in the last financial year as DBL did not exercise control over OREV. The disposal is not part of any Scheme of Arrangement, and thus, compliance with Regulation 37A of LODR Regulations is not applicable.
