Ceigall India Limited announced on January 13, 2026, that its Management Committee of the Board of Directors has approved the execution of a non-binding offer letter concerning the sale of its 100% equity stake in Ceigall Malout Abohar Sadhuwali Highways Private Limited, a step-down subsidiary.

This proposed transaction is contingent upon the successful completion of due diligence, negotiation and execution of definitive agreements, and the procurement of all necessary regulatory, statutory, and lender approvals. Further details will be provided upon the finalization of definitive agreements.

In a separate development, the company has also approved the incorporation of a new project Special Purpose Vehicle (SPV) named "Ceigall Indore Ujjain Greenfield Highway Limited" as a subsidiary. This SPV will implement the "Construction of Indore Ujjain Green field (Access Control) 4 lane with paved shoulder project highway" awarded by the Madhya Pradesh Road Development Corporation Limited. The project involves a 48.10 Km highway section to be developed on a Hybrid Annuity Mode (HAM). Ceigall India Limited will hold 74% of the SPV, with its wholly owned subsidiary, Ceigall Infra Projects Private Limited, holding the remaining 26%. The cost of subscription for the SPV shares is ₹74,000.

The meeting of the Management Committee took place from 10:00 A.M. to 10:40 A.M. (IST). Additionally, the trading window for dealing in the company's securities has been closed from January 1, 2026, and will reopen 48 hours after the declaration of the unaudited financial results for the quarter and nine months ended December 31, 2025.
