Ceigall India Limited's Management Committee of the Board of Directors met on January 13, 2026, to discuss significant corporate actions. The committee considered and authorized the execution of a non-binding offer letter from an Asset Management Company for the sale of its entire 100% equity stake in Ceigall Malout Abohar Sadhuwali Highways Private Limited, a step-down subsidiary.

This proposed transaction is contingent upon the successful completion of due diligence, negotiation and execution of definitive agreements, and obtaining all necessary regulatory, statutory, and lender approvals. Further details will be provided once definitive agreements are executed.

Additionally, the committee approved the incorporation of a new project Special Purpose Vehicle (SPV) named "Ceigall Indore Ujjain Greenfield Highway Limited" as a subsidiary of the company. This SPV will implement a project awarded by the Madhya Pradesh Road Development Corporation Limited for the construction of a 48.10 Km. highway on Hybrid Annuity Mode (HAM). The incorporation follows previous intimations regarding this SPV and the award of the project. The cost of subscription for this SPV is ₹74,000, with Ceigall India Ltd. holding 74% and its wholly-owned subsidiary, Ceigall Infra Projects Private Limited, holding 26%.

The meeting commenced at 10:00 A.M. (IST) and concluded at 10:40 A.M. (IST). The trading window for dealing in the company's securities is closed from January 1, 2026, until 48 hours after the declaration of the unaudited financial results for the quarter and nine months ended December 31, 2025.
