The company will subscribe to up to 26% of the paid-up equity share capital of each Special Purpose Vehicle (SPV) through Share Purchase Agreements. The total investment will aggregate up to ₹19.58 Crores in Clean Max Como Private Limited and up to ₹12.75 Crores in Clean Max Emerald Private Limited. These SPVs are newly incorporated entities with no prior business operations or turnover.

The projects fall under the renewable energy sector and aim to establish captive power generation facilities for industrial and commercial consumers. The acquisition is not expected to be a related party transaction. The estimated completion time for the acquisition is by February 15, 2026, with the consideration being cash.

These projects are expected to generate approximately 13.58 crore units of renewable electricity annually, increasing CEAT's clean power content to around 60%. This initiative is part of CEAT's broader sustainability goals to reduce its carbon footprint and enhance energy efficiency at its manufacturing facilities in Halol, Gujarat, and Kanchipuram, Tamil Nadu.
