Camlin Fine Sciences Limited (CFS) has announced an update regarding its acquisition of Vinpai, a French société anonyme. Following the conversion of 3,300 Convertible Bonds, each with a subscription price of EUR 1,000, aggregating to EUR 33,00,000 (Euros Three Million Three Hundred Thousand), into 11,00,000 new ordinary shares of Vinpai, CFS has increased its shareholding. The transaction was completed on January 9, 2026, with the issuance and credit of these shares to CFS's demat account. These shares are slated for listing on Euronext Growth Paris.

Vinpai is an ingredient'tech company specializing in algae, plant, and mineral-based functional ingredients, offering natural alternatives to chemical additives for the food, cosmetics, and nutraceutical industries. In its financial year 2023 (January 2023 to December 2023), Vinpai generated a turnover of €7.9 million with a loss of €3.4 million after tax. For its financial year 2024, Vinpai reported a turnover of €9.157 million.

Following this conversion, Camlin Fine Sciences now holds a total of 38,23,316 ordinary shares in Vinpai, representing 83.82% of its outstanding share capital. This update is in continuation of CFS's previous intimations dated February 24, 2025, and November 30, 2025, concerning the acquisition of 78.68% of Vinpai's share capital through a share swap arrangement.
