Brainbees Solutions Limited announced a strategic restructuring of its hygiene vertical following a Board Meeting held on December 26, 2025. The company approved the acquisition of additional shares in its subsidiary, Swara Baby Products Private Limited, through a share swap involving its stake in Solis Hygiene Private Limited. As part of this intra-group restructuring, Swara Baby will acquire 100% stake in Solis Hygiene from existing shareholders. This move will increase Brainbees Solutions' shareholding in Swara Baby from 75.92% to 76.59%, making Solis Hygiene a step-down subsidiary with an indirect control of 76.59%. Solis Hygiene, which contributed ₹240.7 crore in turnover and ₹84.8 crore in net worth (3% and 2% of consolidated figures respectively) in FY25, is expected to complete this acquisition by December 31, 2025. The acquisition of additional shares in Swara Baby by Brainbees Solutions, with a cost of ₹84.40 crore, is also expected to be completed by December 31, 2025. Swara Baby's turnover was ₹545.14 crore in FY25 with a net worth of ₹291.96 crore. In addition, the Board accepted the resignation of Ms. Neha Surana as Company Secretary and Compliance Officer, effective December 26, 2025, due to personal reasons. She will continue with the company in the secretarial team. Mr. Mandar Joshi has been appointed as the new Company Secretary & Compliance Officer and Key Managerial Personnel (KMP), effective December 27, 2025.
