Brainbees Solutions Limited announced a significant intra-group restructuring initiative aimed at consolidating its hygiene vertical. The company's Board of Directors, in a meeting held on December 26, 2025, approved the acquisition of additional shares in its subsidiary, Swara Baby Products Private Limited ("Swara Baby"). This acquisition is being made in consideration for equity shares of another subsidiary, Solis Hygiene Private Limited ("Solis Hygiene"). As part of this restructuring, Swara Baby will acquire 100% of Solis Hygiene from its existing shareholders, including Brainbees Solutions Limited. Consequently, Brainbees Solutions Limited's shareholding in Swara Baby will increase from 75.92% to 76.59%. Solis Hygiene will become a step-down subsidiary, and the company's indirect control over Solis Hygiene will be 76.59%. The restructuring is expected to be completed by December 31, 2025. Solis Hygiene contributed ₹240.7 crore in turnover and ₹84.8 crore in net worth to the consolidated figures of Brainbees Solutions Limited for the financial year 2024-25. In addition, the Board accepted the resignation of Ms. Neha Surana as Company Secretary & Compliance Officer and Key Managerial Personnel (KMP) with effect from the close of business hours on December 26, 2025, due to personal reasons. She will continue to be employed by the company. Concurrently, Mr. Mandar Joshi has been appointed as the new Company Secretary & Compliance Officer and KMP, effective December 27, 2025.
