Brainbees Solutions Limited (FIRSTCRY) has completed the acquisition of an additional 56,26,738 equity shares in its subsidiary, Swara Baby Products Private Limited (Swara Baby). This acquisition was made in consideration for 52,890 Series A1 Equity Shares held by FIRSTCRY in another subsidiary, Solis Hygiene Private Limited.

This transaction follows an earlier intimation dated December 26, 2025, where the Board of Directors of FIRSTCRY approved this acquisition. Swara Baby has now acquired 100% stake in Solis Hygiene from its existing shareholders, including FIRSTCRY, through the issuance of 70,92,200 equity shares of Swara Baby. Consequently, FIRSTCRY's shareholding in Swara Baby has increased from 75.92% to 76.59%.

As a result of this transaction, Solis Hygiene has become a wholly-owned subsidiary of Swara Baby and a step-down subsidiary of FIRSTCRY, with FIRSTCRY maintaining an indirect control of 76.59% in Solis Hygiene.
