Brainbees Solutions Limited announced an intra-group restructuring involving its subsidiaries, Swara Baby Products Private Limited (“Swara Baby”) and Solis Hygiene Private Limited (“Solis Hygiene”). The Board of Directors, at its meeting on December 26, 2025, approved the acquisition of an additional 56,26,738 Equity Shares in Swara Baby. This acquisition is in consideration of the company’s 52,890 Series A1 Equity Shares held in Solis Hygiene. Consequently, Swara Baby will acquire 100% of Solis Hygiene from existing shareholders, including Brainbees Solutions. This restructuring will increase Brainbees Solutions' shareholding in Swara Baby from 75.92% to 76.59%. Solis Hygiene will become a step-down subsidiary of Brainbees Solutions, with the company’s indirect control in Solis Hygiene remaining at 76.59%. Solis Hygiene contributed ₹240.7 crore in turnover and ₹84.8 crore in net worth in FY25, representing 3% and 2% of Brainbees Solutions' consolidated turnover and net worth, respectively. The acquisition of shares in Swara Baby has a cost of ₹84.40 crore. Separately, Swara Baby will be allotting 70,92,200 Equity Shares to Solis Hygiene's existing shareholders in exchange for 66,665 Equity Shares and Series A1 Equity Shares, with an acquisition cost of ₹106.38 crore. The entire restructuring is expected to be completed on or before December 31, 2025. In a separate announcement, Ms. Neha Surana resigned as Company Secretary and Compliance Officer, effective December 26, 2025, due to personal reasons, though she will remain with the company’s secretarial team. The Board has approved the appointment of Mr. Mandar Joshi as the new Company Secretary and Compliance Officer, effective December 27, 2025. Mr. Joshi has over 12 years of experience in company secretarial and legal functions.
