Birla Corporation Limited announced the outcome of its Adjourned 105th Annual General Meeting (AGM), held on December 22, 2025. The members of the company approved the adoption of a new set of Articles of Association (AoA) through a special resolution. The original AGM was convened on September 15, 2025, and was adjourned concerning Agenda Item No. 5, which dealt with the adoption of the new AoA. The revised AoA are intended to align the company's governance framework with the Companies Act, 2013, and recent SEBI regulations, replacing the existing articles that have been in force since the company's incorporation and were aligned with the Companies Act, 1956. Further, the Hon'ble High Court at Calcutta, vide its order dated December 22, 2025, noted that the results of the voting on the amended Articles of Association would be published. The court also stipulated that the amended AoA would not take effect for at least one month from the date of the order, pending the disposal of Misc. Appeals by the learned appeal court. All subsequent steps related to the voting and its results will be subject to the outcome of these appeals. The amended AoA are also available on the company's website.
