Billionbrains Garage Ventures Limited (GROWW) announced that its shareholders have approved an amendment to Clause 156 of the company's Articles of Association (AOA) via a Special Resolution passed through Postal Ballot on January 18, 2026.

This amendment introduces sub-clause (4) to Clause 156. Under this new provision, Peak XV Partners Investments VI-1 will have the right to nominate a non-executive director to the Board, provided they hold the largest number of equity shares and at least 10% of the outstanding fully paid-up equity shares. Additionally, each founder, including Mr. Lalit Keshre, Mr. Harsh Jain, Mr. Ishan Bansal, and Mr. Neeraj Singh, who are promoters, will have the right to nominate a director to the Board. This right for founders will cease if they are no longer promoters of the company.
