Bharti Airtel Limited has amended its Existing Shareholders’ Agreement, originally dated January 22, 2009. The amendment was executed on December 18, 2025, between Bharti Airtel, its promoter Bharti Telecom Limited, and Pastel Limited (part of the promoter group, associated with Singtel). This amendment follows an earlier intimation on August 14, 2023. The primary purpose of the amendment is to better align the agreement with business requirements and contemporary governance standards. Key changes include Singtel relinquishing several reserved rights, removing redundancies, and making revisions for clarity and governance. These changes are intended to simplify and rationalize the existing arrangement in line with best governance practices and do not confer any new rights on either party. Bharti Telecom Limited holds approximately 40.47% of Bharti Airtel's share capital, while Pastel Limited holds approximately 7.49%. The company stated that these amendments have no impact on the management or control of Bharti Airtel. Consequent amendments to the Articles of Association will be sought from shareholders in due course.
