Bartronics India Limited (BIL) has entered into a Memorandum of Understanding (MoU) with Origo Commodities India Private Limited (ORIGO). This collaboration aims to explore mutual business expansion within the AgriTech and agri supply-chain ecosystem.

The MoU outlines the intent to evaluate a potential strategic transaction, which may include the demerger of BIL’s AgriTech division into a separate entity. This demerged entity could then be merged with ORIGO, subject to satisfactory due diligence and necessary regulatory approvals.

Origo Commodities India Private Limited is not related to Bartronics India Limited's promoters or group companies. The agreement does not involve any special rights such as appointing directors or first rights to share subscription, and it is not considered a related party transaction, nor will it be done at an arm's length basis. No shares are being issued as part of this initial understanding.
