Bajaj Healthcare Limited has announced a postal ballot to seek shareholder approval for significant corporate actions. The company is proposing the appointment of three new Non-Executive Independent Directors: Mr. Parsotambhai Devsibhai Vaghela, Mrs. Purnima Dhanraj Amin, and Mr. Umeshkumar Laxmidas Bhavsar. These appointments are slated for terms of five consecutive years, commencing on November 21, 2025, January 5, 2026, and January 13, 2026, respectively.

In addition to new appointments, the company is seeking re-appointment for key managerial personnel. Mr. Sajankumar Rameshwarlal Bajaj is proposed for re-appointment as Chairman & Managing Director for a period of three years, effective April 1, 2026, to March 31, 2029. Similarly, Mr. Anil Champalal Jain is proposed for re-appointment as Managing Director, and Ms. Namrata Sajankumar Bajaj and Mr. Pakshal Anil Jain are proposed for re-appointment as Whole-Time Directors, all for a period of three years with effect from April 1, 2026 (for Mr. Jain and Ms. Bajaj) and June 30, 2026 (for Mr. Pakshal Anil Jain).

The postal ballot process will be conducted through remote e-voting, commencing on January 20, 2026, at 9:00 AM IST and concluding on February 19, 2026, at 5:00 PM IST. The cut-off date for determining voting rights is January 16, 2026. The results of the postal ballot are expected to be declared on or before February 23, 2026.
