Asian Hotels (North) Limited has provided an update regarding a fine of ₹1,06,200 (inclusive of GST) levied by both BSE Ltd. and National Stock Exchange of India Ltd. on November 28, 2025. This fine was imposed for non-compliance with Regulation 17(1) of the Listing Regulations, specifically related to the composition of the Board of Directors, including the failure to appoint a woman director.

The company's Board of Directors was presented with this notice of non-compliance during their meeting held on January 16, 2026. In continuation of previous intimations, the Board had appointed Ms. Karishma Kaur Gill (DIN: 11434134) as an Additional Director, serving as an Independent Non-executive Woman Director. This appointment, effective from December 16, 2025, is for a period of one year until December 15, 2026, and is subject to shareholder approval within three months.

The Board acknowledged the responsibility associated with the role of an independent director and stated that the non-compliance was not intentional but rather due to the unavailability of a suitable candidate at the time. Currently, the company boasts an optimal Board composition with 7 members, including 4 Independent Directors (one of whom is a woman director), fulfilling the requirement of more than half of the Board being independent. Furthermore, the Chairperson of the Board is an Independent Director.
