Arisinfra Solutions Limited announced that its Board of Directors, in a meeting held on January 19, 2026, approved the incorporation of a Joint Venture Company named 'JS Infra Core Private Limited', subject to requisite approvals. This JV will focus on manufacturing, trading, and distributing asphalt, bitumen, tar products, and related road construction materials, as well as providing advisory and consultancy services for real estate and infrastructure projects.

The company will hold a 70% stake in the JV Company, with JS Infra Projects holding the remaining 30%. Mr. Ronak Kishor Morbia, Chairman & Managing Director, and other authorized representatives will manage the JV's affairs. The board also approved the shifting of the company's registered office within Mumbai, effective January 19, 2026.

The rationale behind the JV is to combine JS Infra's execution capabilities with Arisinfra's infrastructure, sourcing, and coordination systems, aiming for an asset-light, partnership-driven approach in the asphalt segment. The JV will be a related party transaction, conducted on an arm's length basis. The incorporation of the JV Company is expected to be completed once the entity is formed.
