Arisinfra Solutions Limited announced today, January 19, 2026, the outcome of its Board of Directors meeting. The Board has approved the incorporation of a Joint Venture Company, tentatively named JS Infra Core Private Limited, in association with JS Infra Projects. This JV will focus on manufacturing, processing, and dealing in asphalt, bitumen, tar products, and related road construction materials. It will also provide advisory and consultancy services for real estate and infrastructure projects. Arisinfra Solutions Limited will hold a 70% stake in the JV Company, with JS Infra holding the remaining 30%. Mr. Ronak Kishor Morbia, Chairman & Managing Director, and other authorized representatives will oversee the JV's establishment. The JV aims to leverage JS Infra's execution capabilities with Arisinfra's infrastructure and sourcing strengths for an asset-light, partnership-driven approach in the asphalt segment.

Additionally, the Board has approved the shifting of the Company's registered office within the local limits of Mumbai. The new office will be located at Unit No. FOF B - 02 to 06, Fourth Floor - B Wing, Art Guild House, Phoenix Market City, L.B.S. Marg, Kurla (West), Mumbai - 400070, effective January 19, 2026. The JV is considered a related party transaction and will be conducted on an arm's length basis.
