Arisinfra Solutions Limited has announced the resignation of Mr. Ravi Venkatraman, an Independent Director, from the Board of Directors. The resignation is effective from the close of business hours on January 14, 2026.

Mr. Venkatraman cited prior and ongoing professional commitments as the reason for his departure. He also mentioned that he has been requested to associate with a subsidiary of the Company in an independent capacity, where his experience can be leveraged. To maintain adherence to independence standards and due to this proposed engagement, he deemed it appropriate to step down from the Board.

Consequent to his resignation, Mr. Venkatraman will also cease to be a member of the Audit Committee and the Nomination and Remuneration Committee of the Board of Directors. He confirmed that there are no other material reasons for his resignation beyond those stated.

The company has submitted the resignation letter as Annexure-A and provided the required details under Regulation 30 of the SEBI LODR Regulations as Annexure-B. Mr. Venkatraman's directorships at other listed entities include Kotak Mahindra Prime Limited, Avanse Financial Services Limited, SBFC Finance Limited, SML Mahindra Limited, and Praxis Home Retail Ltd. He holds significant committee memberships, including Chairperson of the Audit Committee at Kotak Mahindra Prime Limited and Avanse Financial Services Limited, and Chairperson of the Audit Committee and Risk Management Committee at SML Mahindra Limited.
