The company has been levied a penalty of ₹1,02,000, and three Key Managerial Personnel (KMPs) will collectively pay ₹78,000, with each KMP fined ₹26,000. The adjudication order, dated January 9, 2026 (Order ID: PO/ADJ/01-2026/CB/01357), cites a contravention under Section 121(3) of the Companies Act, 2013.

The company attributed the delay to technical glitches encountered on the MCA portal, which were promptly escalated. They stated that the form was filed as soon as the portal became operational for such filings, even with additional fees. The company also noted that a Sunday was included in the two-day delay period and argued that their legal submissions were not considered by the ROC.

Ambika Cotton Mills Limited intends to file an appeal against this order before the Regional Director, RD Chennai, within the statutory period. The company has stated that this penalty has no material impact on its financial, operational, or other activities.
