The company is seeking ratification for the appointment of Mr. Bhavin Jayantibhai Kothiya as a Non-Executive Independent Director. Additionally, shareholders will be asked to re-approve the appointment of Mr. Harry Paghadar as Executive Director and his remuneration.

The postal ballot process will involve remote e-voting, commencing on Tuesday, January 20, 2026, at 09:00 a.m. IST and closing on Wednesday, February 18, 2026, at 05:00 p.m. IST. The cut-off date for determining eligible shareholders was Friday, January 16, 2026.

Mr. Bhavin Jayantibhai Kothiya was initially appointed as an Additional Non-Executive Independent Director by the Board on November 24, 2025, and is proposed to serve for five years until November 23, 2030. Mr. Harry Paghadar, a B.Tech Engineering graduate with over five years of experience in the cotton industry, is proposed for appointment as Executive Director for a term of five years from February 18, 2026, to February 17, 2031. His remuneration has also been proposed, with a monthly salary of ₹1,00,000, aggregating to ₹12,00,000 per annum, including perquisites and allowances, subject to shareholder approval. This appointment and remuneration are being re-sought following a previous rejection by shareholders at the 12th Annual General Meeting on August 25, 2025.
