Aegis Vopak Terminals Limited has executed a Framework Agreement with Sea Lord Containers Limited (SCL), a part of the Promoter Group. The agreement, signed on January 30, 2026, outlines the engagement of SCL for the development of LPG Rail Loading Infrastructure and a Bottling Plant at New Mangalore Port Authority (NMPA). The company will pay SCL ₹52,50,00,000 (Rupees Fifty-two crore fifty lakh) upon the execution of this Framework Agreement. Following the project's completion, Aegis Vopak Terminals Limited will execute a separate Asset Transfer Agreement with SCL. The terms of the Framework Agreement include special rights for SCL, such as the right to appoint directors, a first right to share subscription in case of share issuance, and the right to restrict changes in the capital structure. The transaction between SCL and Aegis Vopak Terminals Limited is conducted on an arm's length basis, despite SCL being part of the Promoter Group.
